Shipolog 
Terms of Service

Welcome to Shipolog, a multi-channel Software As A Service (SaaS) application platform ("Service") offered by Simternet, Inc. and its affiliates (Simternet”, "Shipolog," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Service. 

These Terms constitute a legally binding agreement between you and us governing your access to and use of our Service. 

By accessing and using the Service, you agree to be bound by these Terms and any additional conditions presented to you, including but not limited to those specific to carriers and Appendix A. If you do not agree, please stop using the Service. 
 
 

1. License 
 
 

(a) Our License Grant to You 

We own all rights, titles, and interests in the Service, and related technology, including all intellectual property rights. Subject to these Terms, we grant you a limited, royalty-free, revocable, non-exclusive, non-sublicensable, non-assignable, and non-transferable license to use the Service as intended, solely for your internal business purposes and only in the United States. All other rights remain with Shipolog or its licensors. 
 

(b) License Restrictions 

You are not permitted to use the Service in any way not expressly allowed by these Terms. All rights, title, interest, content, trademarks, service marks, trade names, logos, and data associated with this Service are the property of Shipolog or its licensors. You may not modify, create derivative works, reverse engineer, attempt to derive source code, decompile, or disassemble the Service’s underlying ideas and algorithms, or tamper with, or bypass any security measures within the Service. You may not resell, sublicense, or distribute the Services or use the Services to build a competing product. 
You may not reproduce, distribute, or create derivative works from any content without our express written permission.  

 
(c) Your License Grant to Us 

You grant us a worldwide, royalty-free, sub-licensable, assignable, transferable, and non-exclusive license to use any materials and data you provide for the purpose of delivering the Service, including reproduction, modification, adaptation, and distribution. We may use your anonymized and aggregated data for analytics and service improvement purposes. 

Unless you notify us in writing, you agree that Shipolog may use your mark, logo or brand, identify you as a customer and publish any quotation, feedback or testimonial from you that relates to the use of Services. 

 

2. Representations 
 

By using the Service, you acknowledge, represent and warrant that you: 

(a) will comply with these Terms;  

(b) have authority to agree to these Terms; 

(c) have provided accurate information when creating your account 

(d) represent that all users registered or named on your account are your authorized agents, possessing full authority to act on your behalf regarding access and use of the Services, and that they will comply with these Terms.  

(e) will not incorporate our technology into any other program; 

(f) will not use the Service in a way that infringes third-party rights; 

(g) will not use the Service for any illegal or unauthorized purpose including but not limited to attempts to gain unauthorized access to our systems or user data, using automated systems (bots, scrapers) to extract data without written permission, using the Service to distribute malware, harmful code, spam, or engage in fraudulent activities, and uploading or sharing content that is unlawful, defamatory, or violates intellectual property rights; 

(h) will not circumvent usage limits; 

(i) are responsible for all activity under your accounts and credentials and for maintaining the confidentiality of your account and password, and agree not to disclose your credentials to any unauthorized third parties; 

(j) are not subject to U.S. sanctions; 

(k) will comply with all applicable laws and regulations in connection with the Service. 

(l) agree to keep your own copy of any data that you use or maintain as part of the Services in case data is deleted by us or others. 

(m) acknowledge that Services might be inaccessible due to equipment malfunctions, maintenance activities, or reasons beyond Shipolog’s control, Shipolog cannot guarantee an uninterrupted or error-free Service and IS NOT RESPONSIBLE IN ANY WAY FOR ANY MALFUNCTION OR DOWNTIME IN THE SERVICES OR ANY DAMAGE, INJURY OR LOST PROFITS THAT MAY ARISE FROM SUCH MALFUNCTION OR DOWNTIME 

(n) acknowledge that the Service is not intended for children under 13 and you and your users are not under the age of 13 and that If we discover that a minor has used our Service without parental consent, we will delete their data. 

 

3. Payments and Payment Authorization 

You agree to provide valid payment information (e.g., credit card) and authorize us to verify this information, charge for incurred fees, and collect payments by lawful means. 

You also agree to make payments on time per the mutually agreed payment schedule. Shipolog keeps the right to charge interest on any unpaid amount over 30 days, up to the maximum allowed by law and suspend access to your overdue account after reasonable notice. 

4. Plans and Pricing 

Shipolog offers 3 plans Grow, Scale and Pro.

 

(a) Grow plan is for small sellers up to 500 orders/month and it is free for 1 user as long as, total order numbers are below 500 per each month. Additional users are charged $99/month.

(b) Scale plan is for sellers fulfilling more than 500 orders/month. This plan is free for first 30 days and it comes with 1 free user, After 30 days, plan charges $0.25 per each order received and $299 for additional users

(c) Pro plan is for sellers with more than 5,000 order/month and the plan can be customized according to the sellers requirements. The plan fee depends on seller's requests.

Fees associated with using the plans are provided at www.shipolog.com, as applicable. We may update plans, pricing or introduce new plans at our discretion. If any fair usage policy applies, you must adhere to it, or risk restricted access. 

 

Fees are non-refundable. 

 

5. Account Upgrades or Downgrades 

 

Shipolog offers tiered plans with varying features. If you choose to downgrade, you are responsible for backing up your data to prevent any loss. 

 

6. Technical Support 

 

Technical support is offered on http://support.shipolog.com portal. Depending on your Shipolog plan, support services and response times may differ and may incur additional costs. 

 

7. Export Control 

 

You must comply with all import, re-import, sanctions, anti-boycott, export, and re-export control laws when using the Service. 

 

8. Tax Matters 

 

(a) Tax Responsibilities 

You are responsible for identifying and handling your tax obligations, including remittance and reporting. Shipolog may calculate, collect, and remit taxes on your behalf when required but is not responsible for reporting taxes to authorities. 
 

(b) Taxes on Fees and Payments 

Fees for the Service are exclusive of taxes, which are your responsibility. All payments must be made without deductions or withholdings as required by law. 

 

 

9. Confidentiality and Personal Data 

 

a) Confidential Information 

Confidential Information includes all non-public information related to the Service, customer data, reports, and technical specifications. 
 

(b) Confidentiality Obligations 

You agree to keep our Confidential Information secure during your use of the Service and for five years afterward.  Use of Confidential Information is strictly limited to using the Service and fulfilling obligations under these Terms and may not be disclosed to third parties without prior written consent. 
 

(c) Personal Data 

You must handle any personal data in compliance with applicable laws. Personal data we collect is processed per our Privacy Policy. 

 

10. Force Majeure 
 

Shipolog is not liable for any delays or failures caused by events beyond our reasonable control. 

 

11. Relationship of Parties 

 

You and Shipolog are independent contractors. These Terms do not establish any partnership, agency, or employment relationship. 

 

12. Suggestions and Feedback 

 

Feedback and suggestions about the Service can be sent at feedback@shipolog.com We may use any feedback or suggestions you provide about the Service without any obligation to compensate you. 

 

 

13. Modifications to Terms 

 

Shipolog reserves the right, in its sole discretion, to change these Terms at any time with or without notice, which takes immediate effect upon posting to this site. Your continued use of the Service signifies your acceptance of any changes. If you do not agree, please stop using the Service. 

 

14. Electronic Communications 

 

(a) You consent to receive electronic communications from Shipolog. 

(b) Sending spam or unsolicited bulk messages constitutes a breach of these Terms. 

 

15. Term and Termination 

(a) Term 

Term of Service starts upon registration for the Service and continues until terminated by either you or us. 

(b) Termination by Shipolog 

Shipolog may terminate your account or Services at its sole discretion for any reason with at least thirty (30) days' notice. Shipolog also reserves the right to terminate or suspend your account immediately at its sole discretion, without notice, for conduct that we believe violates these Terms of Service, is fraudulent or harmful to Shipolog or other users of the Service, or to comply with an inquiry or request made by law enforcement officials.  

(c) Termination by You 

To terminate your account, you must send an email at support@shipolog.com. 

(d) Effect of Termination 

Upon termination, access to Service, all rights and obligations cease except those that are intended to survive. Any outstanding fees remain due. 

 

16. Disclaimer of Warranties 
 

The Service is provided "AS IS." We make no warranties of any kind and disclaim any implied warranties of merchantability, fitness for a particular purpose, or uninterrupted, secure use. 

 

17. Third-Party Services 

 

You may interact with third-party services when using the Service. Their terms and conditions apply to their use, and Shipolog is not responsible for their privacy practices. 

 

18. Indemnification 

 

You agree to defend, indemnify and hold harmless Shipolog and its affiliates against any claims arising from your data, your use or misuse of the Service, taxes, your violation of law, or breach of these Terms. 

 

19. Limitation of Liability 

 

In no event will Shipolog be liable for any indirect, consequential, incidental, special, or exemplary damages arising out of or in connection with the use of the Services, unless it is due to gross negligence. Shipolog is not responsible for failures, breaches, or damages caused by third-party providers (e.g., hosting services, payment processors) 

In any case, Shipolog liability is capped at the total fees paid for Services in the 3-month period prior to the claim. 

 

20. Miscellaneous 

 

(a) Waiver: Shipolog's failure to enforce any right does not waive that right.

(c) Governing Law: These Terms are governed by New York State law, without regard to conflict-of-law principles. Disputes are resolved in New York County, NY. Arbitration fees will be split unless ruled otherwise. You waive your right to class action lawsuits or jury trials.

Appendix A: 

Shipolog Shipping Terms of Service 

 

When using any 3rd party app or carrier shipping services via Shipolog, you agree to these Terms and any applicable carrier-specific terms. 

 

1. Your Orders 

Your orders are synced by Shipolog through your selected marketplace or shipping label company. Shipolog is not liable for any discrepancies, errors, or issues arising from these third-party services or platforms, including any inaccuracies in order details, shipment statuses, or fulfillment information. 
 

2. Your Purchase 

Any shipping and delivery services are purchased directly from carriers and not from Shipolog. We are not liable for these services. 
 

3. Your Credit Card 

You authorize Shipolog to charge fees for carrier services to your account. 
 

4. Carrier Fees 

Fees for carrier services are subject to adjustment based on the carrier's policies. Refunds, if applicable, are managed per the carrier’s terms. 
 

5. Compliance with Laws 

You must comply with all policies, laws, and terms associated with carrier services
